Lending without being a bank: four models, one register

From private capital lending against a mortgage to the international fund entering Spain: if the borrower is a consumer and the loan is secured on residential property, Law 5/2019 applies to you.

Private capital

Investors and family offices that lend

“You lend against mortgage security on a recurring basis: that is professional activity, and professional activity requires registration. The line between an occasional loan and a business is crossed sooner than it seems.”

Company

Mortgage lending and bridging firms

“Bridge liquidity, refinancing, equity release on homes: your product lives inside the LCI. Registration, the FEIN, appraisal and the notarial certificate are not optional — they are the product.”

International

Foreign funds and lenders

“Lending to consumers in Spain requires local registration: the lender register has no EU passport. We design the vehicle and the application file so you can operate smoothly.”

Hybrid

Brokers who also lend

“You broker mortgages and also lend from your own balance sheet: two distinct statuses — intermediary and lender — that are best handled with a single strategy.”

What happens if you lend without being registered?

It is not just a risk of a fine: it is a risk to your title. Land registrars are suspending the registration of mortgages when a professional lender cannot prove it is registered.

Your mortgage may not get registered: in 2025 the Directorate-General for Legal Certainty and Public Faith (DGSJFP) upheld the suspension of the registration of a mortgage loan deed because the professional lender was not entered in the register that applied to it. Without registration, your security exists only on paper.

Three regimes, three doors: residential mortgage lending to consumers → LCI register (Bank of Spain/Autonomous Community); consumer loans outside the LCI → Law 2/2009, with national registration and mandatory insurance or guarantee; lending to businesses and developers → no reserved activity, but with a contractual structure and AML. Choosing the wrong door invalidates the entire application.

Conduct is part of the product: the FEIN and pre-contractual documentation, creditworthiness assessment, approved appraisal, a prior notarial certificate, and limits on acceleration and default interest. Breaches are paid for in nullity rulings, litigation and enforcements that collapse.

Law 5/2019 (LCI) Art. 42

The real estate lender register: mandatory for granting loans within the scope of the LCI on a professional basis, with the Bank of Spain or the Autonomous Community.

DGSJFP · February 4, 2025 Registration suspended

A resolution backing the land registrar who refused to register the mortgage of an unregistered professional lender: the risk is no longer theoretical, it is a land registry risk.

Law 2/2009 Insurance or guarantee

For consumer credit outside the LCI: a national register of lending companies and mandatory civil liability insurance or a bank guarantee.

Does your lending model need registration, and which one?

A fit analysis tells you whether your activity is professional, which regime applies (LCI, Law 2/2009 or B2B freedom of contract), where to register and what conduct you will have to evidence in each transaction.

Real estate lender registration: common questions

What is a real estate lender?

A natural or legal person that, without being a credit institution, grants loans within the scope of Law 5/2019 on a professional basis: loans secured by a mortgage on residential property, or loans to acquire or keep property rights over land or buildings, whether built or to be built, where the borrower is a consumer.

Private capital, bridging firms, credit funds with a retail product: if that is you, the LCI calls you by name and requires prior registration.

When am I considered to lend “on a professional basis”?

When the activity is habitual or has a business purpose: recurring transactions, advertising or offering to the market, an organized set-up. Notarial and land registry practice itself presumes professional activity when the lender accumulates transactions — and requires proof of registration to register the mortgage.

Truly occasional lending between private individuals is outside the scope. The line is analyzed case by case, and it is best documented before signing, not after.

Where do I register: the Bank of Spain or my Autonomous Community?

As with intermediaries, it depends on your geographic scope: activity in a single Autonomous Community → regional register; nationwide activity or activity in several Communities → Bank of Spain register, through its e-office under Royal Decree 309/2019.

What are the requirements for registration?

There are two access blocks: commercial and professional good repute (directors and managers) and staff knowledge and competence under Order ECE/482/2019. Unlike intermediaries, lenders are not required by the LCI to hold civil liability insurance — but if your product falls under Law 2/2009, there you do need mandatory insurance or a guarantee, in addition to the national consumer register.

The application file must also reflect your conduct: procedures for information, creditworthiness assessment, appraisal and complaints.

What happens if I lend without registering?

Three fronts: penalties (the LCI and Law 2/2009 provide for fines and cessation of activity), land registry (suspension of the mortgage registration, as the DGSJFP confirmed in February 2025 — leaving you without security enforceable against third parties) and civil (a contract concluded outside the mandatory regime is a magnet for litigation and partial nullity).

What is the difference between the LCI and Law 2/2009?

LCI (Law 5/2019): mortgage loans on homes and land with consumers → Bank of Spain/regional register, stricter conduct rules (FEIN, notarial certificate, creditworthiness). Law 2/2009: the rest of consumer credit granted by non-banks (personal loans, non-LCI mortgages) → national consumer register, insurance or guarantee and its own transparency obligations.

Many models touch both at once — and soon a third: the future Bank of Spain register of consumer credit lenders provided for in Spain’s CCD2 draft bill.

What conduct obligations do I have once registered?

The LCI obligations in each transaction: pre-contractual information with the FEIN, a creditworthiness assessment of the borrower, an appraisal by an approved appraisal company, the prior notarial transparency certificate, limits on acceleration, default interest and tying practices, and a complaints policy. Registration opens the door; conduct keeps you inside.

What if I only lend to businesses and developers?

B2B lending is not reserved: you need neither LCI registration nor a banking license to finance developers or businesses with your own capital. But you still need structure: a vehicle, properly taken security, AML (you are an obliged entity) and contracts that hold up. That is the field of real estate direct lending — we have a dedicated page.

Lending against real estate: borderline cases

Can a private individual lend money secured by a mortgage?

Yes, occasionally and without a business purpose. The problem comes with repetition: several transactions, market interest rates or advertising trigger the presumption of professional activity — and with it registration, the LCI conduct rules or Law 2/2009. Before the second or third transaction, it is time to analyze the fit.

Can a foreign fund lend to consumers in Spain?

To businesses, yes, without restriction. To lend to consumers, it must comply with the Spanish regime: the LCI lender register does not work with an EU passport (unlike the intermediary register), so the usual design involves a local vehicle or registered operations. The structure analysis comes before the first transaction, not after.

How long does lender registration take?

As with the other LCI registers, it depends on the quality of the application file: with good repute and training properly evidenced and consistent procedures, a few weeks or a few months; each request for information adds its own cycle. We prepare the file so that it goes in complete the first time.

Do I need to set up a company to lend?

The LCI allows both natural and legal persons. A company is usually advisable for liability, vehicle financing and scalability — and it is practically essential if the plan is to raise third-party capital or grow toward fund structures.

Can I offer bridging or “cash from your home” products?

Yes, with your regulatory status in order: if the client is a consumer and a home is involved, it is pure LCI territory (or Law 2/2009, depending on the structure) — prior registration, FEIN, appraisal, notarial certificate and creditworthiness. Models that sidestep it with creative formulas (purchase options, sale and repurchase) keep piling up case law against them: better a regulated product than a lost lawsuit.

How will the new consumer credit register affect me?

Spain’s CCD2 draft bill (going through the legislative process as of July 2026) provides for a reserved activity and registration with the Bank of Spain for consumer credit lenders and intermediaries. Those already operating under Law 2/2009 will have to migrate to the new status; those lending in both markets (mortgage and consumer) will manage two registers before the same supervisor. Designing with that map today avoids duplicating applications tomorrow.

Which regime does your lending model fall under?

The same transaction — money against real estate security — lives under four different regimes depending on who lends and to whom. This map is the first decision of the project.

What determines the cost of the work

The budget for registration and launch depends on four variables:

Product
Residential mortgage, bridging, consumer or B2B: each product triggers a regime and its conduct rules.
Client
Consumers (mandatory regime) or businesses (freedom of contract, with structure).
Scope
One Autonomous Community or the whole Spanish market; with or without a local vehicle if you come from abroad.
Operations
Which procedures already exist (creditworthiness, appraisal, complaints, AML) and what needs to be built.

How we handle your registration

A three-step method to lend within the right perimeter:

  1. Fit: we classify your activity (professional nature, product, client) and choose the regime and the register.
  2. Application file: good repute, knowledge, conduct and AML procedures, drafted and consistent.
  3. Launch: filing, requests for information, and an operating kit (FEIN, contracts, appraisal and notarial certificate workflow).

How to set up your lending operations, step by step

Registration is only the start: the business is won or lost on the conduct of each loan and on security that is still alive at enforcement.

Before

The regime before the contract

Product and client decide whether you are under the LCI, Law 2/2009 or B2B freedom of contract. Everything else — registration, insurance, conduct — hangs on that classification.

During

Each transaction as a workflow

Creditworthiness, approved appraisal, FEIN, notarial certificate, signing and registration: each loan is a workflow documented from start to finish, not a stand-alone contract.

After

The portfolio needs managing too

Defaults, renegotiations and, where needed, enforcement or sale of the loan: the exit for each loan is designed at signing — and connects with loan assignment and servicing.

Checklist: the lender in 10 steps

  1. Define product and client: residential mortgage, bridging, consumer or B2B; consumers or businesses.
  2. Classify the applicable regime: LCI, Law 2/2009, both — or freedom of contract if you only lend to businesses.
  3. Choose the competent register by geographic scope: Bank of Spain or Autonomous Community.
  4. Evidence the good repute of directors and managers with declarations and certificates.
  5. Evidence staff knowledge and competence (Order ECE/482/2019) with an ongoing training plan.
  6. If you operate under Law 2/2009: take out the liability insurance or guarantee and complete the national consumer registration.
  7. Set up your conduct framework: information and FEIN, creditworthiness assessment, approved appraisal and prior notarial certificate.
  8. Activate AML: as a professional lender you are an obliged entity (manual, due diligence, training).
  9. File the application and answer requests for information in a single round.
  10. Organize the life of the portfolio: monitoring, renegotiations, and exit through enforcement, assignment or servicing.

If your portfolio grows, the natural exits are loan assignment, securitization or the move up to an EFC license.

Mistakes that cost you the security (or the business)

We see them in private capital and in professional lenders. All of them can be fixed before signing.

  • Lending “just a few times” without registration: habitual activity is presumed sooner than you think — and the mortgage does not get registered.
  • Confusing the LCI with Law 2/2009 (or ignoring that your model touches both): an invalid application and missing insurance.
  • Copying bank contracts without adapting them: default interest and acceleration clauses outside the legal limits.
  • No approved appraisal or notarial certificate: the transaction is flawed from the start, and enforcement exposes it.
  • Sidestepping the regime with sale-and-repurchase deals or options: the courts recharacterize them — regulated product or lawsuit.

The real estate lender: lending without being a bank, but under a regulatory regime

Law 5/2019 (LCI) recognizes that in Spain you can lend against real estate without being a credit institution — but it subjects that activity to a regulatory regime: anyone who professionally grants mortgage loans on residential property (or loans to acquire land and buildings) to consumers must register as a real estate lender (Art. 42) in the register of the Bank of Spain or of their Autonomous Community, under the procedure in Royal Decree 309/2019.

Who must register (and who does not)

The key is professional activity: habitual activity, organization and offering to the market. Private capital lending against mortgages on a recurring basis, bridging firms and funds with a retail product are fully in scope. Truly occasional lending between private individuals stays outside, and credit institutions and EFCs are exempt because they already have their own supervision. Unlike the intermediary register, the lender register has no EU passport: a foreign lender that wants to reach Spanish consumers needs a local design.

Requirements, conduct and the land registry risk

Access requires good repute and knowledge (Order ECE/482/2019); operations require the full set of LCI conduct rules: the FEIN, creditworthiness assessment, approved appraisal, the prior notarial certificate and mandatory limits on default interest and acceleration. Non-compliance also has a very tangible cost: the DGSJFP Resolution of February 4, 2025 upheld the suspension of a mortgage registration because the professional lender was not entered in the relevant register. Without lender registration, the security does not get into the Land Registry.

LCI, Law 2/2009 and B2B lending

The map is completed by Law 2/2009 (national register, liability insurance or guarantee and transparency for consumer credit outside the scope of the LCI) and by freedom of contract for lending to businesses and developers, which is not reserved and is the field of direct lending. Many models combine several regimes at once: classifying the perimeter correctly is the first business decision.

2026 context

Spain’s CCD2 draft bill (going through the legislative process as of July 2026) provides for a reserved activity and registration with the Bank of Spain for consumer credit as well, and is set to absorb the Law 2/2009 regime. If you set up your lending operations today with the full map (mortgage, consumer and B2B), you will avoid duplicating applications when the new regime is published in the BOE (Official State Gazette).
